Terms of Service

1. Acceptance of Terms

By accessing or using the EspeesConnect platform ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms constitute a legally binding agreement between you and EspeesConnect.

2. Eligibility

To use EspeesConnect, you must:

• Be at least 18 years of age.
• Be a resident of Nigeria with a valid Nigerian bank account.
• Have the legal capacity to enter into binding contracts.
• Not be prohibited from using our services under any applicable law.

3. Description of Services

EspeesConnect is a peer-to-peer (P2P) marketplace that connects buyers and sellers of Espees — the digital currency of the KingsChat ecosystem. The Platform facilitates transactions between users through an escrow-based system but does not itself buy, sell, or hold Espees on its own account.

EspeesConnect is a marketplace and connection platform, not a financial institution, investment platform, or licensed exchange. Use of the Platform is at your own discretion and risk.

4. Account Registration & Responsibilities

You are responsible for maintaining the confidentiality of your login credentials. You agree to provide accurate, complete, and current information during registration and to update it when it changes. You are solely responsible for all activities that occur under your account. Notify us immediately if you suspect unauthorised access to your account.

5. Transactions & Escrow

When a transaction is initiated, the seller's Espees are locked in our escrow system. The escrow holds Espees until:

• The seller confirms receipt of the buyer's Naira payment, at which point Espees are released to the buyer; or
• The transaction is cancelled within the permitted window, at which point Espees are returned to the seller.

EspeesConnect acts solely as an escrow facilitator. We do not guarantee the identity of any user beyond the verification steps taken at registration. Users are advised to exercise due care in every transaction.

6. Fees

EspeesConnect may charge a service fee on completed transactions. Applicable fees are displayed clearly before you confirm any transaction. Fees are non-refundable on completed transactions. We reserve the right to revise fees with reasonable notice to users.

7. Prohibited Conduct

You agree not to:

• Use the Platform for any fraudulent, deceptive, or illegal purpose.
• Impersonate any person or entity or misrepresent your identity.
• Manipulate prices, offer false payment confirmations, or engage in any form of market manipulation.
• Use automated bots or scripts to access or interact with the Platform without prior written consent.
• Attempt to reverse-engineer, hack, or compromise the security of the Platform.
• Engage in money laundering or any transaction that violates applicable laws.

Violation of these prohibitions may result in immediate account suspension and reporting to relevant authorities.

8. Dispute Resolution

If a dispute arises between users, either party may report the issue through our platform. EspeesConnect will review available evidence and make a determination, which both parties agree to accept as final within the context of the Platform. This does not affect your rights to seek legal remedy outside the Platform.

9. Limitation of Liability

To the maximum extent permitted by applicable law, EspeesConnect shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to loss of funds, loss of data, or loss of profits. Our total liability for any claim arising from use of the Platform shall not exceed the fees you paid to us in the three (3) months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your account at our discretion if we believe you have violated these Terms or if your conduct poses a risk to other users or the integrity of the Platform. You may close your account at any time by contacting our support team, subject to the resolution of any pending transactions.

11. Changes to Terms

We may update these Terms from time to time. Significant changes will be communicated via email or an in-platform notification. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.
